Dear EFC Homeowners,
I wanted to follow up from my message on Monday to share the outcome of our EFC HOA Board Meeting and update you on what's to come.
The Contracts section of our Bylaws gives room for some to interpret the need for a Special Association Meeting on the subject of the lights:
- 7.05 CONTRACTS The Board shall not execute any contract with a committed term greater than one (1) year. The Board may execute a contract greater than one (1) year; however, such contract must be cancellable after one (1) year. Any contract with a committed term of greater than one (1) year shall be approved by Current Members in an Association Meeting.
There are some who would interpret EFC HOA terminating our third-party agreement with Oncor as a "term in perpetuum", thus greater than one year, and therefore requiring a vote by Current Members in an Association Meeting.
One member shared that, if we (the Board) had voted to terminate the third-party contract on Tuesday night and "released the assets to Oncor" that I would be operating outside the bylaws and therefore would be personally subject to legal action and would not be covered by our D&O insurance.
SO, in an effort to not be sued and to allow our current members voices to be heard, we are having an EFC HOA Special Association Meeting on Tuesday, August 20th at 7pm via Zoom to vote on the matter of the streetlights. On August 15th we will distribute a presentation via email (and post the same information on our website at www.efchoa.com for those without emails registered on our website) outlining both proposals and open an online Q&A (cutoff for question submission will be 8/18, 12p).
A few reminders:
- EFCHOA is not soliciting pledges for a "Special Light Fund"
- Oncor is NOT replacing our decorative lights with "highway lights"
- Oncor and the City of Plano have generously agreed to replace our inoperative lights with "American Standard Acorn Lights" at ZERO installation and maintenance cost to EFC HOA and our members. FREE.
- Oncor will install the new lights in phases as the old ones become inoperable or as they run out of replacement parts/bulbs (which is inevitable as the technology is antiquated)
- Oncor has committed to a solution that will ensure all four lights on the bridge remain uniform.
- Please make sure your HOA account has your current email. Remember, you may opt-in or opt-out of Directory publishing at any time.
I never imagined I would know so much about streetlights and light bulbs.
